Overview:
This position oversees all legal and compliance matters of the company by advising management in various departments, identifying risks, and offering advice and alternatives to mitigate risks. Additionally, the incumbent will assist the President on other business development and investor relations matters. This position is in-office 5 days per week with other Burlington-based employees.
Responsibilities:
Key Responsibilities:
Ensures compliance with securities laws/regulations, including drafting/filing reports to the SEC
Ensures compliance with other legal/regulatory requirements, including anti-bribery/anti-corruption, global trade, data privacy, healthcare
Manages commercial, employee and other litigation
Advises HR on employee disputes
Drafts, reviews and negotiates commercial, clinical, and other contracts and agreements
Supports key transactions, including financings, mergers/acquisitions, distribution agreements, distributor terminations
Assesses and manages the company’s intellectual property portfolio, in conjunction with IP counsel
Advises President on corporate governance matters and manages general corporate matters
Adheres to company policies, procedures, and documentation requirements
Treats others with courtesy, sensitivity, and respect at all times
Other duties as assigned
Management Responsibilities:
Ensures our hiring process is fair and effective
Sets goals, provides clear direction, and tracks progress
Provides training, coaching, feedback, and recognition
Responds to employees’ needs and questions as needed
Supports employee’s career goals and development
Communicates updates to employees in a timely manner
Addresses employee concerns immediately
Addresses performance and behavior issues appropriately
Serves as a role model to employees across the organization
Works proactively to ensure their team is able to meet the demands of the organization
Qualifications:
Education Juris Doctorate required with admission to the Massachusetts Bar
Experience: 8 years' experience either, with a combination of law firm and in-house (at a publicly traded company) with no less than 5 years large law firm experience, or, exclusively at a large law firm supporting public companies
Specific Skills/Experience:SEC filing experience (Proxy, 10-K, 10-Qs, 8-Ks, Form 4s, etc.)
Deep understanding of and ability to analyze financial statements
Medical device/life science experience preferred
Computer skills: Highly skilled in Microsoft Excel and PowerPoint
Travel: 10%, including domestic and international
Language Requirements: Fluent in English
