Kelley Kronenberg, a forward-thinking and client-centric law firm, seeks a highly skilled and experienced Attorney at a Junior Partner level to join our Commercial Services department in Fort Lauderdale, Florida. This critical role demands a strategic and diligent legal professional who can seamlessly integrate into our dynamic team. The candidate will handle complex cases in commercial litigation, transactions, and mergers & acquisitions, serving a diverse range of middle-market clients.
Key Responsibilities:
Draft, review, and negotiate commercial contracts, including but not limited to purchase agreements, service contracts, NDAs, and other legal documentation.
Provide legal counsel on mergers, acquisitions, and joint ventures, ensuring compliance with applicable laws and regulations.
Advise clients on corporate governance, business formation, and structuring transactions for optimal tax and business efficiency.
Conduct due diligence for corporate transactions and advise clients on risk management strategies.
Coordinate and collaborate with clients to develop strategic legal solutions that align with their business goals.
Stay up-to-date on changes in laws and regulations that could impact clients' commercial transactions.
Handle a variety of corporate law issues, including contract disputes and risk assessment.
Draft and negotiate letters of intent (LOIs), term sheets, and memoranda of understanding (MOUs) for business transactions.
Work closely with other attorneys and departments within the firm to provide comprehensive legal services to clients.
Qualifications:
Juris Doctor (J.D.) from an accredited law school.
Active Bar membership in Florida.
Minimum of 5 years of experience in commercial transactions, corporate law, or related areas.
Strong background in M&A, joint ventures, and business contracts.
Exceptional negotiation, drafting, and communication skills.
Ability to work independently and manage multiple projects in a fast-paced environment.
Strong attention to detail and organizational skills.
Demonstrated client management skills and ability to provide practical, business-focused legal advice.
