We are currently recruiting for a legal counsel to join the technology and digital intellectual property team a an international investment bank to help with a larg volume of work for the team.

This role will be as a member of the IT & Sourcing team, which is a part of the wider Digital & IP, IT & Sourcing team. The IT & Sourcing team advises on the review and implementation of the Group's offshoring and smartsourcing initiatives and on the bank's engagements with external suppliers, by providing specialist advice on outsourcing, data transfers, banking secrecy issues, regulatory issues and intellectual property and technology issues.

As an IT & Sourcing lawyer, responsibilities include:

  • Provides high-quality, efficient legal advice and assistance on a wide range of intra-group and external arrangements, focusing on outsourcing, offshoring third party risk management, data protection, banking secrecy and confidentiality, IP and technology.
  • For external supplier arrangements, drafts and negotiates legal documentation effectively.
  • For intra-group projects, collaborates with local counsel and project manages the legal opinions from local counsel across multiple territories to ensure that a comprehensive review of the project is performed.
  • Advises on the legal structure of intra-group projects and external engagements.
  • Advises on contractual structure for each project and engagement.
  • Advises on the impact of laws, regulation and guidance impacting IT & Sourcing, including GDPR, DPA, EBA Guidelines on Outsourcing, PRA SS2/21, etc.
  • Apprises territory management and other key stakeholders of the legal implications of a proposed initiative or engagement.
  • Represents Legal in CIB Transformation - Smartsourcing's Transformation Committees and Go-Live approval processes.
  • Supports the existing programme of delivering robust templates, guides, policies and practices for outsourcing and TPRM.
  • Where appropriate, assists, involves and communicates with other internal functions and other teams within the Legal department on projects and other matters.
  • Keeps up to date with legal, market and regulatory developments; shares know-how appropriately with relevant areas of the business, across the legal teams globally and with other functions.
  • Instructs and interacts with external legal counsel where appropriate to promote high quality, cost-efficient external legal services.
  • Ensures consistent and rigorous legal risk management and approach to legal documentation review; implementing tools to achieve these aims.
  • Develops a group team spirit through mutual support, effective internal communication and mentoring.
  • Manages projects and other issues originated within Legal.

Skills and qualifications

  • PQE in a major international jurisdiction, preferably with relevant experience gained at a law firm or bank (preferably in a Commercial, IP & Technology or Outsourcing Team).
  • Have an outgoing and robust personality and be capable of working for a diverse and demanding internal client base with often conflicting priorities. Have sufficient gravitas to advise business lines directly and be able to communicate legal risk effectively whilst maintaining and enhancing the Legal team's relationship with our internal clients.
  • Work both autonomously as well as part of larger teams collectively advising on different parts.
  • Nice to have: Knowledge of commercial, outsourcing (including SYSC 8, EBA Guidelines on Outsourcing, PRA Supervisory Statement SS2/21), banking secrecy, technology, and data protection laws (including GDPR and UK GDPR).
  • Be familiar with banking products and in particular financial derivatives and cash products.
