Corporate Counsel
My client are currently looking for a Corporate Counsel who will work directly with the General Counsel, other members of executive management and cross-functional leadership on a wide variety of transactions, projects and corporate initiatives. The position requires a demonstrated ability to be proactive, exercise independent judgment, and manage multiple projects simultaneously. The ideal candidate brings a collaborative approach and the ability to build strong relationships with internal clients.
Essential Duties and Responsibilities
Working under the direction and supervision of the General Counsel, act as legal advisor at the corporate headquarters in North America, providing practical, commercial advice on a broad range of day-to-day matters and advising business leadership on multifaceted issues, including commercial contracts, dispute resolution, intellectual property, labor and employment and regulatory compliance.
Draft and negotiate a variety of commercial contracts with customers, direct material suppliers, and service providers including but not limited to supply agreements, services agreements, and general terms and conditions of purchasing.
Support ethics and compliance to emphasize and foster a culture of integrity and compliance.
Partner with law department colleagues, business management, and cross-functional leaders on legal projects and business initiatives, including corporate restructurings, M&A, strategic supplier relationships, and product launches.
Provide support for litigation and dispute resolution matters as they arise.
Provide support to the HR team on labor and employment matters.
Provide support on IP matters, including patent and trademark registrations and providing related advice to the business.
Provide support for mergers and acquisitions and manage the due diligence process.
Collaborate with external counsel and assist in the management of matters assigned to external counsel, particularly litigation.
Required Skills and Experience:
At least five to seven years of commercial transactions experience. Preference for candidates with prior in-house experience. Additional preference for candidates with experience working with manufacturing and/or distribution companies.
Strong competency in drafting and negotiating a broad range of commercial contracts.
Prior corporate governance, compliance, IP, labor and employment and/or M&A experience a plus.
Ability to work collaboratively and effectively in a fast-paced environment.
Business-focused approach, strong interpersonal skills, and a commitment to professionalism and integrity.
Proficient with Microsoft Office Suite (Word, Excel and PowerPoint)
Current membership in any state bar considered; Illinois state bar preferred.
JD from a top law school with excellent academic credentials.
Required Education:
Juris Doctorate degree from an ABA-approved law school
