PETER'S HEALTH PARTNERS CHIEF COMPLIANCE OFFICER POSITION DESCRIPTION POSITION PURPOSE The St. Peter's Health Partners Chief Compliance Officer is responsible for leading the Integrity and Compliance Program for St. Peter's Health Partners in accordance with Trinity Health policies and program standards. The St. Peter's Health Partners Chief Compliance Officer serves as the senior leader responsible for promoting the principles and objectives of the Integrity and Compliance Program to colleagues, medical staff, governance and others in St. Peter's Health Partners. The Integrity and Compliance Program is Trinity Health's system-wide ethics and compliance program. The Integrity and Compliance Program is a demonstration of Trinity Health's commitment to ensuring its operations are conducted in a manner consistent with the Mission and Core Values, in accordance with the highest standards of ethical and professional behavior, and in compliance with laws and regulations that apply to our health care ministry. REPORTING AND OTHER MANAGEMENT RESPONSIBILITIES The St. Peter's Health Partners Chief Compliance Officer reports to the St. Peter's Health Partners President and Chief Executive Officer, with dual accountability to Trinity Health System Integrity & Compliance Officer. Due to regulatory prohibitions, the St. Peter's Health Partners Chief Compliance Officer may not also serve as General Counsel or functionally report to the General Counsel. The St. Peter's Health Partners Chief Compliance Officer will regularly report to the St. Peter's Health Partners board of directors (or delegated committee of the board) on the operations of St. Peter's Health Partners' Integrity and Compliance Program. PRINCIPLE DUTIES AND RESPONSIBILITIES: Provide leadership to the design and operation of St. Peter's Health Partners Integrity and Compliance Program in accordance with policies and program standards of Trinity Health. Ensure appropriate structure and alignment of the Integrity and Compliance Program with the leadership, governance and evolving operating model of the St. Peter's Health Partners. Responsible for leadership, development and mentoring of Integrity and Compliance personnel supporting St. Peter's Health Partners, including goal setting, performance feedback, and talent management activities. Oversee Integrity and Compliance Committee(s) responsible for assisting the Integrity & Compliance Officer in the operation Integrity and Compliance Program in St. Peter's Health Partners. Ensure the Integrity & Compliance Committee(s) meet regularly with appropriate representation and participation of management, and are effective in supporting the goals and objectives of the program. Oversee the distribution, of the Trinity Health Code of Conduct and appropriate orientation and training programs on the Code of Conduct for St. Peter's Health Partners colleagues, medical staff, board members and others. Work collaboratively with St. Peter's Health Partners leadership teams to establish and implement policies and procedures addressing areas of significant legal, regulatory or other compliance risks impacting the St. Peter's Health Partners' operations. Work collaboratively with St. Peter's Health Partners leadership teams to ensure colleagues, medical staff, and board members participate in ongoing training and education programs in support of the Integrity and Compliance Program. Promote continuous awareness and understanding of the Integrity and Compliance Program, the Code of Conduct, and Trinity Health's commitment to follow all laws and regulations through active visibility and engagement, and ongoing communication and awareness with colleagues, management teams, governance activities and others. Ensure the timely investigation and follow-up on issues reported through the Trinity Health Integrity & Compliance Line or through other means, including reports of alleged violations of laws, regulations, or St. Peter's Health Partners /Trinity Health policies through coordination with appropriate St. Peter's Health Partners and System Office resources. Ensure the performance of periodic risk assessments to identify and assess potential areas of legal, regulatory and business ethics risks impacting St. Peter's Health Partners' operations for purposes of Integrity and Compliance Program planning and evaluation of program effectiveness. Establish processes to oversee and monitor corrective actions taken by St. Peter's Health Partners in response to compliance matters identified through internal and external audits, regulatory investigations and internal monitoring activities. Facilitate coordination between Trinity Health System Office resources and St. Peter's Health Partners, when needed, to support compliance auditing and monitoring activities. Coordinate with St. Peter's Health Partners Human Resources in the establishment of policies and procedures in areas such as background checks, screening for eligibility to participate in federal and state health care programs, and disciplinary actions for violations of the Code of Conduct and/or St. Peter's Health Partners/Trinity Health policies. Partner with St. Peter's Health Partners legal counsel in response to regulatory audits and investigations or other matters identified through the Integrity and Compliance Program. Communicate timely with St. Peter's Health Partners' legal counsel and Trinity Health's System Integrity & Compliance Officer concerning significant legal and regulatory matters impacting St. Peter's Health Partners, including investigations conducted by the Department of Justice, Department of Health and Human Services Office of Inspector General, state attorney generals and others. Ensure St. Peter's Health Partners' Chief Executive Officer and other senior leaders are timely informed of significant activities of the Integrity and Compliance Program, including the status of investigations, audits or other material issues requiring senior management's attention and support for corrective actions. Ensure St. Peter's Health Partners has established effective policies and processes to comply with requirements of the Health Insurance Portability and Accountability Act (""HIPAA"") privacy and security regulations in accordance with Trinity Health standards. Ensure prompt investigation and timely reporting of privacy incidents and breaches in accordance with regulatory requirements. Provide regular reports to St. Peter's Health Partners' Board of Directors (or delegated committee of the board) on the operations of the Integrity and Compliance Program, including the status of any significant legal, regulatory or other compliance matters being addressed. Serve as a member of the Trinity Health Integrity & Compliance Officer Steering Committee and Council, providing input and feedback to Trinity Health System Integrity & Compliance management on the design, operation and ongoing effectiveness of the Integrity and Compliance Program. POSITION QUALIFICATIONS: Undergraduate degree required. A master's degree or other post-graduate degree is strongly preferred. Minimum 10 years of relevant compliance experience working with provider organizations (e.g., hospitals, physician groups, etc.) in the health care industry, including significant leadership responsibilities for compliance program operations. Excellent written and verbal communication skills. Must be effective in presenting information to multiple audiences including senior management, governance, medical staff and colleagues. Must possess a strong working knowledge of the health care industry regulatory environment, particularly laws and regulations pertaining to participation in the Medicare and Medicaid programs, fraud and abuse laws, and compliance programs. Professional certification in compliance (CHC, CCEP, and CHPC) is desirable.
