Uniac - Higher Education Internal Audit Specialists
Independent Non-Executive Chair of the Board Appointment
Background
Uniac () has been established for almost thirty years and provides in-depth, value adding internal auditing services to the higher education sector. With the largest number of specialist HE internal audit professionals under one roof in the country, Uniac works in partnership with a number of universities located all over the country - providing full service, co-sourcing and one-off assignment options.
As a shared service, Uniac is owned by its member institutions who joined together with the intention of co-ordinating internal audit arrangements amongst themselves and, from that, sharing good and best practice.
Uniac's Board has responsibility for the oversight of Uniac's governance, strategic and financial plans and holding the senior management of Uniac accountable for delivery. This includes:
• the approval of the strategic plan
• the nature and quality of service (s)
• agreement and monitoring of a range of KPIs
• how Uniac is succeeding in meeting member expectations
• human resources management
• the basis on which it sets fees
• the steps being taken to ensure Uniac is strong from a technical perspective and continues to be financially sustainable.
The Board meets three to four times a year and there is also an annual general meeting.
Board membership is made up from four nominated individuals (either executive or non-executive) from the member universities.
As the current Chair is due to retire in the coming months, Uniac's members are seeking to appoint an independent non-executive chair to continue to lead the Board and the business, enabling the Board to provide the leadership, strategic vision and oversight required to achieve Uniac's quality and growth objectives in a competitive environment. This is an opportunity for a senior professional looking to work within a vibrant sector with a strong public sector ethos.

The main requirements and responsibilities of the role are to:
• work with the Board in delivering its oversight responsibilities as detailed above
• agree objectives and guide, support, monitor and appraise the performance of the Uniac Executive Director (s)
• liaise / meet, when necessary, with member institutional representatives (and beyond, i.e. including clients) to gauge and, where appropriate, work with the Uniac Executive Director (s) to respond to concerns and / or opportunities
• play a part in Uniac's business development activities and its wider sector stakeholder engagement.
Attributes and experience
The independent non-executive chair will ideally have the following attributes and experience:
• knowledge and experience of:
o the higher education sector
o risk, assurance and internal audit at a senior level
• excellent record of governance and leadership with experience as a Chair
• strong commitment to organisational development / improvement
• excellent communication and relationship skills.
Remuneration and time commitment
The position is for a three-year term and will be remunerated with an annual salary of £12K. Whilst time commitments to fulfil the role may vary, it is estimated that a commitment of two days a month is required.
